Jeantet advises M2i and PROLOGUE, its controlling shareholder, in the context of the proposed acquisition of a majority block of M2i shares by SKOLAE, prior to the filing of a simplified tender offer on M2i shares

 

Paris, 5 February, 2025 – Jeantet has advised M2i (a company listed on the Euronext Growth Paris market), specialized in training in IT, AI, Digital, Management and Soft Skills, as well as Prologue (a company listed on the Euronext Growth Paris market), its controlling shareholder, in the context of the acquisition project of a majority block of M2i shares by Skolae, France’s leading higher education establishments network.

Skolae and Prologue, the controlling shareholder of M2i (hereinafter the “Company”), announced, on February 3, 2025, the signing of a put option with a view to the acquisition by Eductive SAS, a company owned by Skolae (hereinafter the “Offeror“), of the controlling block of shares of the Company representing a majority stake of 59.94% of the Company’s share capital, which would be followed by the filing by Educative SAS, at the beginning of Q2 2025, of a simplified tender offer (hereinafter the “Tender Offer“) for the remaining shares issued by the Company at a price of €8.50 per share, with the exception of treasury shares. In the event that Eductive SAS crosses the threshold of 90% of M2i’s capital and voting rights following the Tender Offer, Eductive SAS will request the implementation of a squeeze-out procedure.

This price of €8.50 per share represents a premium of 126% over the last closing price of the M2i share (€3.76 on January 31, 2025), and values the Company at approximately €49 million.

The contemplated transaction between M2i and Skolae would create a major player in higher education and the 3rd largest French player in vocational training.

The transaction is expected to be completed by the end of Q2 2025.

The Tender Offer will be filed by Portzamparc, a subsidiary of the BNP Paribas Group, acting as presenting bank and guarantor.

An independent expert will be appointed shortly by the board of directors of M2i in connection with the Tender Offer.
