Jeantet confirms the development of its « Capital Markets Law » practice with the appointment of Cyril Deniaud as partner
Cyril Deniaud, 38 years old, has become a partner of the law firm Jeantet. From now, he will co-head with Frank Martin Laprade the « Listed Companies and Capital Markets Law » department (composed of two partners and four associates fully dedicated to listed companies).
This well-structured team is managed by a very complementary tandem: Cyril deals with the financial transactions (public takeovers, IPOs, issuances of shares or equity-linked securities, delisting, equity incentive programs for managers and employees, etc.), while Frank is more in charge of litigation matters (sanctions from the AMF, recourse in front of the specialised court of the Paris Court of Appeal, conflicts between shareholders, etc.).
Graduated of Sciences Po Paris and La Sorbonne, Cyril started his career in 2005 at Freshfields Bruckhaus Deringer, before joining Herbert Smith Freehills in 2011. In 2014, he joined Jeantet as Counsel in order to assist Frank in the development acceleration of the « Listed Companies and Capital Markets Law » practice.
Since he arrived at Jeantet, Cyril has in particular advised Figeac Aero on its IPO on the regulated market of Euronext Paris in 2016 (96.2M€) and then on its issuance of convertible bonds (ORNANE) in 2017 (100 M€) but also the Japanese company NSSMC on Vallourec’s fund raising of 1 billion euros in 2016.
He has also advised on six public takeovers for three years, assisting in particular Prologue on its unsolicited tender offer for O2i in 2014, or Montupet on the frendly tender offer filed by the Canadian group Linamar in 2015.
Cyril is also a recognized practitioner regarding the financing of listed companies through the issuance of convertible bonds with attached warrants (OCABSA), having been involved in almost all the financings of this kind in France over the past three years (representing around 30 issuances, generally as legal counsel of the investors), and assisting now its investors clients in their investments of this kind in European listed companies with the support of Jeantet’s network of « best friends ».
Finally, since his arrival at Jeantet, Cyril has assisted from time to time some of his listed clients (such as Danone or April) on M&A transactions in Europe, and has participated to the writing of various legal articles.
