Jeantet conseille la famille Gattaz et la société Radiall dans le cadre de sa sortie de cote

 

Jeantet a conseillé la famille Gattaz et la société Radiall dans le cadre de l’offre publique d’achat simplifiée (OPAS) visant ses actions pour en obtenir la radiation du marché réglementé d’Euronext Paris.

L’offre, déclarée conforme par l’AMF le 22 décembre 2016, s’est d’abord déroulée du 27 décembre 2016 au 8 février 2017, date à laquelle elle avait été clôturée provisoirement dans l’attente de l’arrêt de la cour d’appel de Paris qui avait été saisie par des actionnaires minoritaires de Radiall d’un recours aux fins d’annulation de la décision de conformité de l’AMF.

La cour d’appel de Paris ayant rejeté le recours en annulation par un arrêt du 18 mai 2017, l’OPAS a ensuite été réouverte du 29 mai au 9 juin 2017, permettant à la famille Gattaz de détenir, à l’issue de l’offre, 1.710.097 actions Radiall représentant 3.213.357 droits de vote, soit 98,45% du capital et 99,17% des droits de vote de Radiall.

La mise en œuvre de l’OPAS s’inscrivait dans le cadre de la procédure de demande de radiation volontaire des actions Radiall d’Euronext Paris, en application de l’article P 1.4.2 du livre II des règles de marché non harmonisées d’Euronext Paris.

C’est la première fois qu’un émetteur utilisait cette nouvelle réglementation, entrée en vigueur en juillet 2015, qui permet désormais aux sociétés dont la liquidité des titres est très faible (moins de 0,5% du capital échangés sur le marché pendant 12 mois) d’en demander la radiation à la suite d’une OPAS.

La radiation sera alors accordée par Euronext Paris, sous réserve que l’initiateur de l’OPAS détienne plus de 90% des droits de vote à l’issue de son offre, sachant que c’était le cas de la famille Gattaz depuis la première tentative de sortie de cote initiée par Radiall en 2010.

Au terme de sept longues années d’efforts, les actions Radiall ont donc été radiées d’Euronext Paris le 12 juin 2017.
