Jeantet conseille SiegCo et Valtech dans le cadre de la sortie de cote de Valtech

 

Jeantet a conseillé SiegCo et Valtech dans le cadre de l’offre publique d’achat simplifiée (OPAS) de SiegCo visant les actions de la société Valtech et de la mise en œuvre de la procédure statutaire de « transfert obligatoire ».

L’offre, déclarée conforme par l’AMF le 31 janvier 2017, proposait aux actionnaires minoritaires de Valtech, société de droit anglais dont les actions sont admises aux négociations sur Euronext Paris, un prix de 12,50 € par action et s’est déroulée du 2 au 15 février 2017 inclus.

A l’issue de l’offre, SiegCo détenait directement 23.772.541 actions Valtech représentant 89,34% du capital et, de concert avec son actionnaire majoritaire Verlinvest, 25.647.541 actions Valtech représentant un total de 96,38% du capital.

SiegCo avait indiqué dans la documentation d’offre qu’elle ne souhaitait pas demander la mise en œuvre d’une procédure de retrait obligatoire à l’issue de l’offre.

SiegCo avait toutefois précisé qu’elle mettrait en œuvre la procédure de transfert obligatoire à un actionnaire existant (« compulsory transfer to an existing shareholder ») prévue à l’article 75 des statuts de Valtech, qui permet à un actionnaire détenant au moins 80% du capital de Valtech à l’issue d’une offre publique de requérir de Valtech l’émission d’un « avis de vente des actions restantes » (« Remainder Sale Notice ») aux termes duquel les actionnaires minoritaires qui n’auraient pas apporté leurs actions à l’offre publique doivent les vendre à l’actionnaire majoritaire au même prix que celui de l’offre publique.

A l’issue de la procédure statutaire de transfert obligatoire, SiegCo détient ainsi, de concert avec Verlinvest, 100% du capital de Valtech.

Les actions de Valtech ont été radiées d’Euronext Paris le 8 mars 2017 en application des règles de marché d’Euronext Paris.
