Jeantet, conseil de l’opération dans le cadre de l’offre au public d’actions Figeac Aéro pour un montant global de 96,2 M€ suivie d’un transfert sur Euronext Paris
Paris, le 23 mars 2016 – Jeantet a conseillé Figeac Aéro dans le cadre d’une offre composée d’un placement global principalement destiné aux investisseurs institutionnels et d’une offre à prix ouvert principalement destinée aux personnes physiques pour un montant global de 96,2 M€, qui fut suivie par un transfert des actions Figeac Aéro du marché Alternext Paris vers le marché réglementé d’Euronext Paris. L’opération dans son ensemble a fait l’objet d’un prospectus visé le 7 mars 2016 par l’Autorité des Marchés Financiers sous le n° 16-070.
Le Groupe Figeac Aéro, partenaire de référence des grands industriels de l’aéronautique, est spécialiste de la production de pièces de structure en alliages légers et en métaux durs, de pièces de moteurs, de trains d’atterrissage et de sous-ensembles. Groupe international fort d’un effectif de plus de 1.800 salariés, Figeac Aéro est présent en France, aux Etats-Unis, au Maroc, au Mexique et en Tunisie.
L’opération de placement a permis à Figeac Aéro de lever 86,2 millions d’euros par l’émission de 4.011.627 actions nouvelles, après exercice intégral de la clause d’extension, à un prix unitaire de 21,50 euros. Le capital social de la société s’élève désormais à 3.813.496,80 euros et se compose de 31.779.140 actions.
Cette levée de fonds permettra au Groupe de financer son développement et de déployer son business model à l’international, notamment sur le continent américain (plus de 60% du marché mondial), mais également en zones « best cost », via l’accélération de la croissance organique et la saisie d’opportunités de croissance externe.
Conjointement à cette émission d’actions nouvelles, Monsieur Jean-Claude Maillard, PDG fondateur, a cédé 465.116 actions existantes pour un montant de 10 millions d’euros, portant le flottant de la société à 24,3% du capital.
Le règlement-livraison des actions est intervenu le 22 mars 2016. Les actions Figeac Aéro ont été radiées du marché Alternext Paris et sont admises aux négociations sur le marché réglementé d’Euronext Paris depuis le 23 mars 2016.
Cette opération a été dirigée par Oddo & Cie agissant en qualité de Chef de File et Teneur de Livre Associé et par Midcap Partners agissant en qualité de Teneur de Livre Associé.
