Catherine Cathiard préside un groupe de travail sur la Société Européenne
Jeudi 6 décembre 2012, lors de la réunion plénière du Comité de Droit Financier de PARIS EUROPLACE, sous la présidence de Michel PRADA, le Comité de Droit Financier a décidé de la création d’un groupe de travail sur le sujet de la Société Européenne, placé sous la présidence de Catherine Cathiard et qui sera chargé de présenter des propositions en vue de lever les imperfections législatives identifiées.
Catherine Cathiard a indiqué qu’un regain d’intérêt pour le statut de Société Européenne a été enregistré, en France, au cours de l’année 2012. Des sociétés cotées telles qu’Unibail-Rodamco ou Scor, ont opté pour ce statut et, plus récemment, Atos et Gameloft.
Pour autant, le développement en France de la SE reste entravé par quelques imperfections de la législation.
Il a été souligné que, pour corriger ces imperfections, il conviendrait notamment de :
modifier les dispositions légales françaises qui ne sont pas conformes aux textes européens obligatoires,
donner compétence au Commissaire aux Comptes de la société et non à un commissaire à la transformation dans le cadre du certificat à établir pour la transformation d’une SA en SE,
donner compétence au greffier du tribunal et pas uniquement au notaire pour le contrôle de légalité du transfert de siège transfrontalier de SE,
revoir la procédure de rachat d’actions par les minoritaires qui s’opposeraient au transfert de siège de la SE, les textes actuels se heurtant à la pratique dans leur état actuel.
De toute évidence, la SE est un facteur d’attractivité du droit français et de la juridiction française tant pour des investissements intracommunautaires que pour les investissements étrangers du reste du monde.
