JeantetAssociés a conseillé la Caisse des Dépôts, missionnée comme fiduciaire dans une fiducie-gestion constituée par l’Association Fonds Mutualisé de Revitalisation 76 (FMR 76).
La Caisse des Dépôts, établissement spécialement habilité à intervenir comme fiduciaire par la loi du 19 février 2007 instituant la fiducie, dispose d’une solide expérience des missions fiduciaires et d’équipes spécialisées dans cette activité.
La fiducie-gestion constituée par FMR 76 pourrait être dénommée « fiducie-revitalisation ». En effet, cette fiducie est chargée de recevoir et d’administrer les sommes versées à FMR 76, organisme collecteur habilité par les entreprises de Seine-Maritime procédant à des licenciements à la suite de plans sociaux d’entreprises, dans le cadre de conventions de revitalisation des bassins d’emploi de ce département conclues entre ces entreprises et l’Etat.
La fiducie emploie ces ressources pour consentir des avances remboursables à taux zéro à des petites et moyennes entreprises créatrices d’emploi dans les bassins d’emploi affectés par des plans sociaux. Les crédits, définis en fonction des besoins des entreprises et des perspectives d’emplois nouveaux, s’inscrivent le plus souvent dans des tours de table leur assurant un effet de levier.
Le recours à la fiducie dans ce dispositif est tout à fait innovant. Il permet d’optimiser dans la transparence les coûts de traitement des crédits de revitalisation des territoires et de sécuriser les sommes affectées à la revitalisation au sein d’un patrimoine d’affectation. Il garantit par ailleurs à l’Etat une bonne gestion de ces fonds dans une perspective de long terme, grâce à la durée de la fiducie (99 ans) et à la réaffectation ultérieure du produit du remboursement des avances remboursables à de nouveaux crédits au profit d’entreprises situées dans le département de Seine-Maritime.
Ce dispositif pourrait être dupliqué dans d’autres territoires.
