Dans le cadre du Cercle des Administrateurs de l’Association des Sciences Po qui organise une conférence,
mardi 15 mai 2012 de 19h à 20h15, sur le thème :
« Les codes de gouvernance engendrent-ils des responsabilités pour les entreprises et leurs mandataires ? »
Sylvie Le Damany, avocat à la Cour, associée, intervient avec Jean-Pierre Charlet, Directeur juridique de Gemalto.
Le débat sera animé par Didier Serrat Président du Cercle des Administrateurs Sciences Po.
Les codes de gouvernance font-ils avancer les bonnes pratiques? Ou ne permettent-ils que des déclarations d’intention parfois contredites (voir les aller et retour sur la séparation des fonctions de Président et de Directeur général). Les actionnaires ou les autres parties prenantes peuvent- ils exiger que leurs engagements soient respectés dans l’intérêt social de l’entreprise ? Et avec quelles sanctions ? Ne faut-il pas craindre au contraire une imprécision du droit applicable qui rendrait diffuse la responsabilité des entreprises et de leurs mandataires et donc délicate sa protection ou sa mise en jeu?
Sylvie Le Damany et Jean-Pierre Charlet débattront avec vous de ce sujet qui inquiète parfois les dirigeants d’entreprise.
