Our team, led by Martine Samuelian, both advises clients and acts in pre-litigation and litigation matters on behalf of financial institutions and investment services providers.
We are backed by acknowledged regulatory expertise in matters affecting our banking and investment services clients, and with regard to financial instruments:
- Advising and assisting our clients in their dealings with their supervisory authorities concerning approvals, changes in the various standards and prudential ratios, organisation of internal control systems, compliance and anti-money laundering strategies.
- Adapting client documentation (e.g. account conventions, portfolio management agreements etc.) and practices (e.g. compliance policies, internal control procedures, policy manuals, AML / AMT policies etc.) in line with the virtually constant flow of changes to applicable regulations.
- Working alongside our clients in preparing and negotiating contracts with their normal service providers (e.g. portfolio management agreements, custodian agreements, Sadiecontracts etc.), such that all the rights and duties of both parties are precisely defined and understood, in accordance with applicable regulations.
- Advising our clients in the structuring and distribution of banking products or financial instruments to institutional or private investors, covering customer canvassing, marketing, specialist loans, payment instruments, online banking and financial services, and mutual funds (approvals, preparing articles of association, regulations and prospectuses).
We also assist our clients in their pre-litigation and litigation dealings with:
- The supervisory authorities in connection with audits or investigations - preparing for hearings, drafting comments on the preliminary report followed by the final audit report and, if applicable, disciplinary matters (e.g. the AMF's or the ACP's Sanctions Commission). Furthermore, we act of course in market abuse cases including insider trading, share price manipulation and misleading public reporting.
